Welcome to KoraStudio. These Terms of Service (the “Terms”) form a binding agreement between you (the “Customer”, “you”) and NIMUGIRE Business Ltd, a company registered in the Republic of Rwanda with its registered office in Kigali (“KoraStudio”, “we”, “us”), operating the KoraStudio platform at korastudio.rw (the “Service”).
By creating an account, accessing, or using the Service you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
You accept these Terms by clicking “Sign up”, by signing in, or by using any part of the Service. If you are using the Service on behalf of an organisation, studio, or agency, you represent that you have the authority to bind that organisation, and references to “you” include that organisation.
We may update these Terms from time to time. Material changes will be communicated via the dashboard or by email at least 14 days before they take effect. Continued use of the Service after the change date constitutes acceptance of the updated Terms.
2. Description of Service
KoraStudio is a Software-as-a-Service platform for creative freelancers, studios, and agencies operating in Rwanda and across Africa. The Service includes — but is not limited to — client portals, project management, file delivery, content scheduling, AI-assisted content generation (“AI cowork”), portfolio pages, website generation, and invoicing with mobile-money collection.
Features available to you depend on the Plan you subscribe to. We may introduce, modify, or retire features over time; where a change materially reduces a paid feature you are using, we will provide reasonable notice.
3. User Accounts
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must notify us promptly at hello@korastudio.rw if you suspect unauthorised access.
- You must be at least 18 years old, or the age of majority in your jurisdiction, to operate a paid account.
- One human may operate multiple studios; circumventing plan limits by creating duplicate accounts is grounds for suspension.
4. Subscription Plans & Payments
Pricing for each Plan is published on our pricing page and is quoted in Rwandan Francs (RWF). Subscriptions renew monthly unless cancelled from the dashboard before the next renewal date.
- Payments are processed through Paypack, supporting MTN Mobile Money and Airtel Money.
- Fees are charged in advance and are non-refundable except where required by law.
- Downgrading or cancelling takes effect at the end of the current billing period; you retain access to paid features until that date.
- If a renewal payment fails, we will retry collection and may suspend or downgrade the account if the balance remains unpaid.
- Tokens and add-on top-ups are consumable; unused tokens do not roll over indefinitely and are forfeited 90 days after purchase.
- Taxes (including VAT where applicable) are your responsibility unless stated otherwise.
5. Acceptable Use
You agree not to use the Service to:
- Upload, generate, or transmit content that is unlawful, defamatory, infringing, fraudulent, or that violates the rights of any third party.
- Send unsolicited bulk communications (spam) through the messaging, email, or invoicing features.
- Attempt to gain unauthorised access to other studios, the underlying infrastructure, or any data not belonging to your account.
- Reverse engineer, decompile, scrape, or otherwise extract source code or non-public data from the Service.
- Use AI features to generate content that depicts minors in a harmful manner, incites violence, or is otherwise prohibited by applicable law.
- Resell or sublicense the Service without a written reseller agreement signed by us.
We may suspend or terminate accounts that violate this section, with or without notice, and may report illegal activity to Rwandan authorities.
6. Intellectual Property
Your content. You retain all rights, title, and interest in the content, files, designs, project data, client information, and other materials you upload to or generate through the Service (“Customer Content”). You grant us a limited, worldwide, royalty-free licence to host, store, transmit, display, and process Customer Content solely to operate, secure, and improve the Service for you.
Our platform. The KoraStudio name, logo, software, designs, and documentation are owned by NIMUGIRE Business Ltd and are protected by Rwandan and international copyright, trademark, and other intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service for the duration of an active subscription.
AI output. Output generated through AI features is provided to you without warranty of originality. You are responsible for reviewing AI output before using it commercially and for ensuring it does not infringe third-party rights.
7. Data & Privacy
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any personal data of your clients or end-users that you upload to the Service has been collected and shared with us lawfully, and for honouring data-subject requests that originate from your own customers.
8. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and accuracy of AI-generated output.
We do not warrant that the Service will be free of bugs, errors, or interruptions, nor that any defect will be corrected. Mobile-money rails, SMS gateways, and third-party AI providers are operated by independent suppliers and may experience downtime outside our control.
9. Limitation of Liability
To the maximum extent permitted by Rwandan law, in no event shall NIMUGIRE Business Ltd, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or related to your use of the Service.
Our aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to KoraStudio in the three (3) months immediately preceding the event giving rise to the claim, or (b) RWF 50,000.
10. Termination
You may cancel your subscription at any time from the dashboard or by contacting support; cancellation takes effect at the end of the current billing period.
We may suspend or terminate your account immediately if you (a) materially breach these Terms, (b) fail to pay fees when due after a reasonable cure period, (c) use the Service in a way that creates legal exposure for us or other customers, or (d) are required to be terminated by a court or competent authority.
Upon termination your access to the Service ends. We will retain Customer Content for 30 days after termination to allow export; thereafter we may delete it permanently. Provisions of these Terms that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Governing Law) will survive.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Rwanda, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Kigali, Rwanda.
Before initiating legal action, you agree to first contact us at hello@korastudio.rw and attempt to resolve the dispute in good faith for at least 30 days.
